Ownership, market access, office requirements and tax treatment compared side by side, so you can choose the right structure before you apply.
The core difference
A Free Zone company is licensed by a Free Zone authority and is designed for international trade, consulting and digital services. A Mainland company is licensed by the Dubai Department of Economy and Tourism (DET) and can trade directly with any customer inside the UAE.
Both structures now allow 100% foreign ownership for most commercial activities, so the decision comes down to where your clients are and how you plan to sell to them.
When a Free Zone makes sense
Choose a Free Zone if your clients are mostly outside the UAE or are other businesses that do not require a Mainland supplier. Packages start lower, flexi-desk options remove the need for a physical office, and setup is typically completed within days.
Qualifying Free Zone income may also benefit from a 0% Corporate Tax rate, provided substance and qualifying-activity conditions are met.

When Mainland is the better fit
Choose Mainland if you need to sell directly to UAE consumers, open a retail location, or bid on government tenders. Mainland companies have no restriction on where in the UAE they can operate, but they usually require a registered office lease (Ejari).
